Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the SiteWon website at sitewon.com, the SiteWon application, WordPress plugin, and related services provided by SiteWon LLC ("SiteWon," "we," "us," or "our").

By creating an account, purchasing a subscription, connecting a website, or otherwise accessing or using the SiteWon Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Service.

1. The SiteWon Service

SiteWon is a subscription-based SaaS platform designed to help website owners, digital agencies, organizations, and other users monitor, maintain, manage, and understand websites, including WordPress websites.

Depending on the subscription plan and enabled features, SiteWon may provide capabilities including:

  • Website health monitoring
  • Uptime monitoring
  • Performance monitoring
  • WordPress version monitoring
  • Plugin and theme monitoring
  • Update monitoring
  • SSL monitoring
  • Domain monitoring
  • Security monitoring
  • Broken link monitoring
  • Analytics monitoring
  • Cookie and consent monitoring
  • Accessibility monitoring
  • Automated form testing
  • Competitor analysis
  • Other website management, monitoring, auditing, workspace, automation, and intelligence features introduced by SiteWon from time to time

SiteWon may add, modify, suspend, or discontinue features as the Service evolves.

2. Eligibility

You may use SiteWon only if you are legally capable of entering into a binding agreement under applicable law.

SiteWon does not impose a specific minimum age requirement for using the Service. However, if you are using SiteWon on behalf of a company, organization, or other entity, you represent that you have authority to accept these Terms on that entity's behalf.

3. Creating an Account

Certain SiteWon features require you to create an account.

When creating an account, you agree to provide information that is accurate, current, and complete.

You are responsible for:

  • Maintaining accurate account information
  • Maintaining the confidentiality of your login credentials
  • Protecting your account from unauthorized access
  • Using appropriate security practices
  • Promptly notifying SiteWon of suspected unauthorized access
  • All activity occurring through your account, subject to applicable law

4. Multiple Users

SiteWon may allow an account owner or administrator to invite multiple authorized users.

The account owner is responsible for:

  • Managing authorized users
  • Assigning appropriate permissions
  • Removing users who should no longer have access
  • Ensuring that invited users comply with these Terms

Users should maintain individual login credentials where the Service provides individual user accounts.

You may not share credentials in a manner that circumvents SiteWon's user limits, access controls, or subscription restrictions.

5. Connecting WordPress Websites

To connect a WordPress website, you may be required to:

  • Install and activate the SiteWon WordPress plugin
  • Log into your SiteWon account
  • Generate a unique API token
  • Enter the token into the SiteWon plugin
  • Complete the connection process

You represent that you have the authority to install the SiteWon plugin and connect each website associated with your account.

You are responsible for ensuring that you have all necessary rights, permissions, and authorizations to allow SiteWon to monitor or manage each connected website.

6. Customer Data and Website Ownership

You retain ownership of the content and data belonging to you or your organization.

SiteWon does not acquire ownership of your website content merely because you use the Service.

You grant SiteWon a limited, non-exclusive right to process technical information from connected websites to the extent reasonably necessary to provide, maintain, secure, and improve the Service.

SiteWon may process website technical information, scan results, operational data, and related metadata generated through your use of the Service.

7. Subscription Plans

SiteWon is offered through paid monthly subscription plans.

The features, website limits, add-ons, pricing, and other conditions applicable to each plan are described on the SiteWon website or presented to you during the subscription process.

SiteWon may change pricing, plans, features, or included usage from time to time, subject to applicable law and any applicable notice requirements.

8. Billing and Payment

Payments for SiteWon subscriptions are processed through Stripe or another payment processor designated by SiteWon.

By subscribing to SiteWon, you authorize SiteWon or its payment processor to charge the applicable monthly subscription fee to your selected payment method.

Your subscription will be billed at the beginning of each monthly billing period.

You are responsible for providing accurate billing information and maintaining a valid payment method.

SiteWon does not directly store your complete payment card information.

9. Automatic Monthly Renewal

SiteWon subscriptions automatically renew at the end of each monthly billing period unless you cancel your subscription before the next renewal date.

At each renewal, your payment method will be charged the applicable monthly subscription fee based on your current plan and any applicable add-ons.

If you change your subscription plan or add or remove paid add-ons, the applicable pricing and billing treatment will be presented to you at the time of the change.

SiteWon may change subscription pricing in accordance with these Terms and applicable law.

10. Cancellation

You may cancel your SiteWon subscription at any time.

Cancellation will prevent your subscription from automatically renewing for the next monthly billing period.

Unless otherwise stated, cancellation does not entitle you to a refund for amounts already paid for the current monthly billing period.

You will generally retain access to the paid features of your subscription until the end of the current paid billing period, unless SiteWon terminates or suspends your account earlier in accordance with these Terms.

11. Refund Policy

SiteWon does not provide refunds for subscription fees or partially used monthly billing periods, except where a refund is required by applicable law or expressly approved by SiteWon.

If you cancel your subscription, you will generally retain access to the Service until the end of your current paid monthly billing period.

Cancellation will prevent the next monthly subscription charge.

12. Account Termination

You may terminate your account at any time by following the available account cancellation process or contacting SiteWon.

SiteWon may suspend or terminate an account if:

  • You materially violate these Terms
  • You use the Service for unlawful purposes
  • You attempt to compromise the security of the Service
  • Your use creates a security risk
  • You engage in fraud or abuse
  • You fail to pay applicable fees
  • Your use materially interferes with the Service or other customers
  • SiteWon is required to do so by law

Where appropriate and reasonably practicable, SiteWon may provide notice and an opportunity to remedy a violation before termination.

13. Effect of Cancellation or Termination

Following cancellation or termination, SiteWon may disable access to your account and connected websites at the end of your current paid monthly billing period, unless the account is terminated earlier due to a violation of these Terms, non-payment, security concerns, or another permitted reason.

SiteWon intends to delete account information and associated customer data approximately 30 days after account cancellation, subject to applicable legal, security, backup, dispute-resolution, and recordkeeping requirements.

You are responsible for exporting any information you need before account termination.

14. Acceptable Use

You agree to use SiteWon only for lawful purposes and in accordance with these Terms.

You must not:

  • Use SiteWon to violate applicable laws or regulations
  • Attempt to gain unauthorized access to SiteWon or another customer's account
  • Attempt to circumvent authentication or access controls
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Service except where such restriction is prohibited by applicable law
  • Introduce malware, viruses, malicious code, or other harmful material
  • Conduct penetration testing or security testing against SiteWon without written authorization
  • Interfere with the operation or availability of SiteWon
  • Use automated methods to excessively access or burden the Service
  • Scrape or systematically extract SiteWon data without permission
  • Resell, sublicense, lease, or commercially redistribute SiteWon without written authorization
  • Share account credentials in a manner that circumvents subscription or user restrictions
  • Use another person's account without authorization
  • Attempt to access another customer's data
  • Use SiteWon to conduct fraudulent or deceptive activities
  • Use SiteWon in a manner that infringes another person's intellectual property, privacy, or other rights
  • Encourage or assist another person to engage in prohibited conduct

SiteWon may investigate suspected violations and take appropriate action, including suspension or termination.

15. Website and Third-Party Responsibilities

SiteWon monitors and manages information relating to websites connected by customers.

You remain responsible for the websites you connect to SiteWon, including:

  • Website content
  • Website security
  • Hosting
  • Domain registration
  • DNS configuration
  • WordPress configuration
  • Plugin and theme licensing
  • Legal compliance
  • Privacy compliance
  • Cookie compliance
  • Accessibility compliance
  • Any third-party services connected to your websites

SiteWon does not guarantee that monitoring or management through the Service will prevent security incidents, malware, downtime, data loss, vulnerabilities, or other website problems.

16. Monitoring and Scan Results

SiteWon may provide scores, alerts, recommendations, reports, scans, assessments, or other information relating to a website.

These results are intended as informational and operational guidance.

SiteWon does not guarantee that:

  • A website is secure
  • A website is free of malware
  • A website is legally compliant
  • A website satisfies accessibility requirements
  • A website satisfies cookie or privacy requirements
  • A website will remain available
  • A website will remain free of vulnerabilities
  • A scan will identify every possible problem

Website scans and automated assessments may produce false positives or false negatives.

You remain responsible for evaluating recommendations and taking appropriate action.

17. Compliance Features

Certain SiteWon features may provide information relating to accessibility, cookies, privacy, security, or other regulatory considerations.

These features are monitoring and informational tools and do not constitute legal advice, legal certification, compliance certification, or a guarantee of compliance with any law or regulation.

You are responsible for determining the legal requirements applicable to your websites and organization and obtaining professional advice where appropriate.

18. Competitor Analysis

SiteWon may provide competitor analysis or benchmarking features based on publicly available website information and other permitted sources.

SiteWon does not guarantee the accuracy, completeness, availability, or timeliness of competitor information.

You agree not to use competitor analysis functionality to engage in unlawful surveillance, harassment, unauthorized access, or other prohibited activity.

19. Third-Party Services

SiteWon may integrate with or rely on third-party services, including payment processors, cloud infrastructure providers, email services, analytics platforms, and other technology providers.

Third-party services may be governed by their own terms and privacy policies.

SiteWon is not responsible for the availability, functionality, security, or policies of third-party services that are outside SiteWon's control.

20. Intellectual Property

SiteWon and its licensors own all rights, title, and interest in and to:

  • The SiteWon software
  • SiteWon website
  • SiteWon application
  • SiteWon WordPress plugin
  • SiteWon branding
  • Logos
  • Designs
  • User interfaces
  • Documentation
  • Software code
  • Product features
  • Product names
  • Other SiteWon intellectual property

Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

You may not copy, reproduce, modify, distribute, sell, lease, sublicense, or create derivative works of SiteWon intellectual property without written authorization.

21. Feedback

If you provide SiteWon with suggestions, ideas, feature requests, feedback, or other recommendations regarding the Service, you grant SiteWon the right to use that feedback without restriction or compensation, provided that such use does not disclose your confidential information.

22. Confidentiality

Each party may receive confidential information from the other in connection with the Service.

Each party agrees to use reasonable measures to protect confidential information and not disclose it except where necessary to perform obligations under these Terms, comply with law, or as otherwise permitted by the applicable agreement.

23. Service Availability

SiteWon aims to provide a reliable and useful service but does not guarantee that the Service will:

  • Be available continuously
  • Be uninterrupted
  • Be error-free
  • Be completely secure
  • Be compatible with every WordPress website, hosting environment, plugin, or theme
  • Meet every customer's particular requirements

SiteWon may perform maintenance, updates, upgrades, or emergency work that temporarily affects availability.

SiteWon does not provide a contractual uptime guarantee unless expressly agreed in a separate written agreement.

24. Disclaimers

To the maximum extent permitted by applicable law, the SiteWon Service is provided on an "as is" and "as available" basis.

SiteWon disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or usage of trade.

SiteWon does not warrant that the Service will meet your requirements, operate without interruption, be error-free, or identify all security, performance, accessibility, privacy, cookie, malware, or other website issues.

25. Limitation of Liability

To the maximum extent permitted by law, SiteWon LLC and its affiliates, officers, directors, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, data, or other intangible losses arising out of or relating to your use of the Service.

To the maximum extent permitted by law, SiteWon's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total fees you paid to SiteWon for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

26. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless SiteWon LLC and its affiliates, officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable law
  • Your violation of another person's rights
  • Websites or data you connect to the Service
  • Your users' actions or violations

SiteWon may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate with such defense.

27. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles.

To the extent permitted by applicable law, disputes arising out of or relating to these Terms or the Service shall be subject to the jurisdiction of the appropriate courts located in Virginia.

28. Changes to These Terms

SiteWon may modify these Terms from time to time.

When material changes are made, SiteWon may provide notice through the website, application, email, or other reasonable means.

The updated Terms will include a revised "Last Updated" date.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms, subject to any rights you may have under applicable law.

29. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in effect.

30. Waiver

A failure by SiteWon to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.

31. Entire Agreement

These Terms, together with any applicable order forms, subscription terms, policies, or agreements expressly incorporated by reference, constitute the entire agreement between you and SiteWon concerning your use of the Service.

They supersede prior or contemporaneous agreements concerning the same subject matter, except where a separate written agreement expressly states that it controls.

32. Assignment

You may not assign or transfer your rights or obligations under these Terms without SiteWon's prior written consent, except where permitted by applicable law.

SiteWon may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of substantially all of its assets, or similar transaction.
